Andrew Schultheis primarily works with companies, entrepreneurs, investment banks, venture capital firms, and other investors in corporate and securities matters.  Prior to joining Witherspoon Kelley, Andrew practiced at Fenwick & West LLP, a Silicon Valley-based law firm, where he represented such clients as Cisco Systems, Inc., Handspring, Inc., Intuit, Inc., Macromedia, Inc., Shopping.com Ltd. and VeriSign, Inc., among others.

From public companies to private start-ups, Andrew has represented clients in a broad array of matters. At Witherspoon Kelley, he assists public companies with corporate governance, securities law compliance, general corporate matters, and analyzing and establishing adequate takeover defenses. His work with private, start-up companies includes incorporation and initial capitalization, board fiduciary duties, venture capital financings, license agreements, executive compensation, equity incentive plans, loan facilities, and other business transactions. Additionally, Andrew has extensive experience in merger and acquisition transactions, and in a variety of corporate finance transactions.
